Recent LNC Motions

There recently occurred an LNC meeting and an LNC Executive Committee meeting.  They passed motions.

LNC ExComm Meeting – MAY 8, 2024

The ExComm went into Executive Session.  The two LNC members who were recently excluded from an ExComm meeting as observers were not present for this meeting.

NEW BUSINESS WITH PREVIOUS NOTICE

Derivative Lawsuit
Secretary Harlos: Move to authorize counsel to accept service and to file a responsive
pleading to the derivative lawsuit. Passes 6-0, the Chair abstaining.

Secretary Harlos: Move to authorize counsel to seek a security bond in the amount of
$25,000 to cover the LNC’s E&O deductible. Passes 5-1-1, Hagopian opposed, Chair abstaining.

There was an LNC meeting:

LNC Meeting Secretary Harlos moved to appoint an Investigative Committee comprising Dave
Benner, Adam Haman, Andrew Watkins, and Kathy Yeniscavich to investigate in good
faith whether the maintenance of the derivative proceeding is in the best interests of
the corporation, pursuant to the Code of the District of Columbia, §29-411.05 with such
committee to report back and share their findings to the Executive Committee and
counsel as soon as reasonably possible.

Passsed on an 11-0 vote, Darr, Watkins, and McArdle abstaining. Absent from the meeting were At-Large Member Blankenship, the Region 3 Representative and Alternate, and the Region 6 Representative and Alternate.

    Reading this post (and many others on the meetings) gives no clue to the subject. What are the motions about? What is the investigation about? Which lawsuit? What is the bond for?

    These are written only written for people who were already at the meeting and every other one in history.

    Why not explain what you are talking about?
